These Terms of Use ("Terms") govern your use of jointventuresco.com and any related pages, forms, and content (the "Site"), operated by Joint Ventures Consulting LLC, a Nevada limited liability company ("JVCO", "we", "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Who we are and what we do

JVCO is a consultant and intermediary. We help introduce buyers, sellers, and their representatives in physical commodity transactions, including sulphur, gold, refined fuels (such as EN590, ULSD, Jet A1, and gasoline), crude oil, LNG, LPG, and copper.

JVCO is never the seller, buyer, principal, or title-holder of any commodity. We do not own, store, ship, inspect, finance, or take delivery of any product, and we do not hold funds for any party. See our Intermediary Disclaimer.

2. No offer or solicitation

Nothing on the Site is an offer to sell, a solicitation of an offer to buy, a quotation, or a commitment of any kind. Any product, specification, volume, price, port, or procedure shown on the Site is indicative only. No contract, mandate, or obligation arises from your use of the Site or from any inquiry, letter of intent ("LOI"), or document you submit through it.

Any transaction happens only between the principals, on their own documents (for example, a signed Full Corporate Offer and Sale and Purchase Agreement), and only after they have completed their own verification and compliance checks. The Site is not directed at anyone in a jurisdiction where its content or use would be unlawful.

3. Information only, not advice

Content on the Site is general information. It is not investment, financial, legal, tax, trading, or regulatory advice, and it is not a recommendation to enter into any transaction. JVCO does not hold itself out as a bank, broker-dealer, investment adviser, commodity trading advisor, or futures commission merchant. Get your own professional advice and do your own due diligence before acting.

4. No warranty

The Site and all content are provided "as is" and "as available". To the fullest extent permitted by law, JVCO disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, and non-infringement.

In particular, JVCO makes no warranty or representation about any product's specifications, quality, quantity, origin, pricing, availability, delivery, or legal status, or about the identity, capacity, or good standing of any buyer, seller, or intermediary. Such information usually comes from third parties, and JVCO does not verify it. We do not warrant that the Site will be uninterrupted, secure, or free of errors or harmful code.

5. Your responsibilities

You agree to:

• give accurate, current information and only submit documents you are authorized to share;
• use the Site only for lawful purposes and in line with applicable sanctions, export control, anti-money laundering, and anti-bribery laws;
• not use the Site if you, your company, or your beneficial owners are the subject of sanctions or are located in a comprehensively sanctioned jurisdiction;
• not impersonate JVCO or anyone else, or misrepresent your authority or relationship with any principal;
• not scrape, copy, reverse engineer, overload, probe, or interfere with the Site or its security; and
• not upload malicious code or unlawful content.

JVCO may refuse, suspend, or end any inquiry or access to the Site at any time, for any reason, including compliance concerns.

6. Limitation of liability

To the fullest extent permitted by law:

• JVCO and its members, managers, officers, employees, agents, and affiliates (the "JVCO Parties") are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, or data, arising from or related to the Site, these Terms, or any transaction or dealing with any third party, even if advised of the possibility;
• the JVCO Parties are not liable for the acts, omissions, representations, performance, non-performance, fraud, or insolvency of any buyer, seller, intermediary, bank, inspector, shipper, or other third party; and
• the JVCO Parties' total liability for all claims arising from or related to the Site or these Terms is limited to US$100.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

7. Indemnity

You will defend, indemnify, and hold harmless the JVCO Parties from and against any claims, losses, liabilities, damages, fines, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site; (b) information or documents you submit; (c) your breach of these Terms or any law; or (d) any transaction, dispute, or dealing between you and any third party.

8. No agency or partnership

Using the Site, or submitting an inquiry, does not create any agency, mandate, partnership, joint venture, fiduciary, employment, or exclusive relationship between you and JVCO. JVCO has no authority to bind any buyer or seller, and no buyer or seller has authority to bind JVCO. Any engagement of JVCO must be in a separate written agreement signed by JVCO.

9. Intellectual property

The Site and its content, including text, graphics, logos, and the "JVCO" and "Joint Ventures Consulting" names, are owned by or licensed to JVCO and are protected by law. You may view and print pages for your own internal business use. You may not otherwise copy, modify, distribute, or use them without our written permission.

If you send us feedback or ideas, you grant us a free, perpetual, worldwide right to use them. You keep ownership of documents you submit, and you grant JVCO the right to use and share them as described in our Privacy Policy.

10. Third-party links and content

The Site may link to or display third-party content. JVCO does not control and is not responsible for it, and a link is not an endorsement.

11. Fraud and impersonation

Fraudsters may impersonate JVCO. JVCO does not accept upfront fees for product and will never ask you to pay for a commodity into a JVCO account. Verify any communication claiming to come from JVCO only through the contact details on this Site. JVCO is not liable for losses caused by impersonation or by communications that did not come from JVCO's official channels.

12. Governing law

These Terms, and any dispute arising from or related to them or the Site, are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law rules.

Transaction agreements are separate. These Terms cover only use of the Site. Any non-circumvention and non-disclosure agreement, fee protection or other agreement, or other transaction document involving JVCO is governed by its own terms (JVCO's transaction agreements typically use English law and London arbitration). If there is a conflict, the signed transaction document controls for its subject matter.

13. Disputes

• Talk to us first. Before starting any proceeding, you agree to contact us at trade@jointventuresco.com and try in good faith to resolve the dispute for at least 30 days.
• Venue. Any dispute not resolved informally will be brought only in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. JVCO may seek injunctive relief in any competent court to protect its intellectual property or the Site.
• No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, or representative proceeding.
• Jury waiver. To the extent permitted by law, each party waives the right to a jury trial.
• Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, unless the law requires a longer period.

14. Changes

We may change these Terms at any time by posting the updated version on the Site and updating the "Last updated" date. Changes apply from posting. Continuing to use the Site means you accept the changes.

15. General

These Terms, with our Privacy Policy and Intermediary Disclaimer, are the entire agreement between you and JVCO about the Site. If any part is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may. Headings are for convenience only.
